MENTOR SIGNUP AGREEMENT
Please read these Terms and Conditions ("Terms", "Terms and Conditions") carefully before using the http://theonehourmentor.org website.
Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users and others who access or use the Service.
By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the terms then you may not access the Service.
The user agrees to the terms and conditions are listed below.
WHEREAS The Company has developed an online Platform/ Portal namely
www.theonehourmentor.org (hereinafter referred to as “the said Portal”) on which Mentees can connect with their chosen Mentors;
AND WHEREAS the Mentor has agreed to devote time and help develop the Mentee by providing mentorship service;
The Mentor agrees to abide by the enclosed Terms and Conditions and agrees and acknowledges that the said enclosed Terms and Conditions form part and parcel of this Agreement.
1. SERVICE THROUGH PORTAL
The Mentor agrees and acknowledges that this is a Service driven portal wherein it offers the Mentees, services of consulting/training/education/guidance through the Mentors’, who have enrolled with the Company. Under no circumstance is the Company promising any physical/tangible commodity.
2. ENROLLMENT AS MENTOR
- The Mentor agrees and acknowledges to provide correct details including qualification and experience related information.
- Further, if required, the Company may require the Mentor to submit to the Company the necessary proofs in connection with the Degrees; Qualification; Experience etc.
- The Company may modify and update the Agreement at regular interval, when it deems necessary. The Company will inform the Mentor when the said Agreement is updated. The Mentor is required to read the updated Agreement and confirm to the Terms mentioned therein.
3. TERM
- This Agreement shall be in force from the time the mentor signs up on the portal.
4. PRINCIPAL-TO-PRINCIPAL
- The Parties agree and acknowledge that this Agreement is a Principal-to-Principal Agreement and neither Party shall be considered as the Agent of the other. Further, the Mentor shall under no-circumstance be considered as an Employee of the Company and hence applicability of Labour laws/ PF/ESIC does not arise.
- The Mentor alone shall be responsible/ liable for his/ her own acts. The Company and/or the said Portal shall not be held liable for any wrong doing by the Mentor/ Mentee.
5. MENTORSHIP FEES
- At the time of signing up on the said Portal, the Mentor shall inform the Company about the intention to charge Mentorship Fees. If so, once the said Fees are approved by the Company, they will be listed on the said Portal as a Mentor.
- The Mentor further agrees and acknowledges that even if they do not intend to charge any Fee, the Company shall be entitled to charge necessary Fee as it deems appropriate towards marketing and other promotional activities of the said Portal, from the Mentee for the Mentorship sessions. The Company may also decide to create/ setup Scholarship(s) for the Mentee(s) from the waived-off Fees that the Company will collect from the Mentee.
- The Mentor agrees and acknowledges that depending upon the demand and requirement on the said Portal, the Company in its sole discretion may charge higher or lesser fees from the Mentee. However, the Mentor will only be entitled to the Fees as mutually agreed between the Parties.
6. PAYMENT
- At the end of each month, the Mentor shall be paid the applicable Fees for the monthly services offered during the previous month by the said Mentor, depending upon successful sessions as completed by the said Mentee.
- The Mentor agrees and acknowledges that in order to cover the Portal’s service cost, the Company shall charge a 20% processing and administration Fee, which shall be deducted from the Mentor’s Fee.
- The Mentor shall raise an invoice for Mentorship services, in favour of the Company and the payment shall be made in Indian Currency only by bank transfer to the following bank account of the Mentor:

7. RESCHEDULING & UNSATISFACTORY SERVICE
- If the Mentor cannot remain available on the agreed time, the Mentor & the Mentee can reschedule to another convenient time. However, the Mentor cannot reschedule mentorship service, more than once a month.
- If the Mentee is not satisfied by the Mentorship services or if the Mentor is unable to complete the agreed sessions with the permitted time period, the Company in its sole discretion may decide to not pay the remaining Fee to the Mentor.
8. MENTOR REFERRAL FEE
If the Mentor refers another Mentor to the Company and after reviewing the new Mentor’s credentials, if the Company decides to enrol the new Mentor on the said Portal, the referring Mentor shall be eligible to receive a token amount, as determined by the Company, upon the new Mentor being selected by one of the Mentees’.
9. COMPLAINT AGAINST MENTOR
- If the Company receives any complaint against the Mentor in connection with mental/ physical harassment; sexual favour/ harassment; misbehaviour/ time allotment issues or any other grievance by the Mentee or any 3rd Party, the Company in its sole-discretion shall be entitled to take decision which it deems appropriate, including but not limited to removing the Mentor and his/ her services from the said Portal. Further, till the conclusion of the said complaint, all pending dues as payable to the Mentor shall be withheld by the Company. The Company in its sole discretion may also decide to not pay the remaining Mentor’s Fee.
- The Company in its sole-discretion, in addition to withholding the pending dues, shall also be entitled to initiate appropriate legal action in connection with the said wrong-doing, if it deems appropriate.
10. DISPUTE BETWEEN MENTOR & MENTEE
- The Mentor agrees and acknowledges that in case of any issue/ dispute between the Mentor and the Mentee or any 3rd Party, the Company shall not be held responsible/ liable in any manner and the Mentor further agrees and acknowledges that the Mentor shall resolve the said issue/ dispute with the said Mentee and/or the 3rd Party without involving the Company and/or the said Portal.
- The Mentor agrees and acknowledges that the Company through the said Portal is only a medium to connect with the Mentee and under no circumstances does the Company and/or the said Portal vouch for the authenticity of the credentials of the Mentee and/or the Mentee’s Company/Organization and the Mentor alone shall be responsible to determine/ verify the same.
11. INDEMNIFICATION
- The Mentor agrees to indemnify and hold the Company, his officers, directors, agents and employees, harmless from any claim or demand, losses, cause of action, damage, Law suits including reasonable Attorney’s fees and costs, arising out of or relating to the Mentor’s services under this Agreement.
- The Mentor further agrees to defend any and all claims, demands, cause of action, lawsuits and /or judgments arising out of, or relating to the Mentor’s services under this Agreement, unless expressly stated otherwise by the Company in writing.
- This indemnity shall survive the expiration or termination of this Agreement.
12. DISPUTE RESOLUTION; GOVERNING LAWS & JURISDICTION
- Any dispute, controversy or claims arising out of or relating to this Agreement or the breach, termination or invalidity thereof, shall be settled by arbitration in accordance with the provisions of the [Indian] Arbitration and Conciliation Act, 1996.
- The place of Arbitration shall be at Ahmedabad, Gujarat.
- The Arbitral proceedings shall be conducted in English language and the Award shall be rendered in English only. The procedural Law of the Arbitration shall be Indian Law.
- The Award of the Arbitral Tribunal shall be final, conclusive and binding upon the Parties, and the provisions of the Arbitration and Conciliation Act, 1996 shall apply.
- The rights and obligations of the Parties under, or pursuant to, this Clause, including the Arbitration Agreement in this Clause, shall be governed by and be subject to Indian Law, and the Agreement shall be subject to the exclusive Jurisdiction of the Courts at Ahmedabad, Gujarat.
